Welcome to Sunscreen Manufacturer. These Terms and Conditions (“Terms”) govern your access to and use of our website https://sunscreenmanufacturer.com and all related services, including private label sunscreen manufacturing, OEM contract manufacturing, custom SPF formulation development, and associated consulting. By accessing our website, requesting a quote, placing an order, or engaging with any of our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

We operate as a professional B2B manufacturer (primarily serving brands, distributors, and businesses) and maintain full compliance with international manufacturing and trade regulations, including FDA (USA), EU Cosmetics Regulation (EC) No 1223/2009, Australian Therapeutic Goods Administration (TGA) requirements, ISO 22716, cGMP, and applicable export laws.

1. Definitions

  • “We,” “Us,” “Our” — Sunscreen Manufacturer, located at No. 25, Fuyuan 1st Road, Jinghu Industrial Zone, Xinya Street, Huadu District, Guangzhou City, Guangdong Province, China 510800.
  • “You,” “Your,” “Client” — The individual or legal entity using our website or services.
  • “Services” — Private label manufacturing, contract manufacturing, custom SPF formulation, packaging, labeling, testing, and global logistics.
  • “Products” — Sunscreen formulations (mineral, chemical, hybrid, reef-safe, etc.) produced under these Terms.

2. Our Services and EligibilityWe provide high-quality sunscreen manufacturing services exclusively to business clients. All Products are manufactured in our ISO 22716 and cGMP-certified facility in Guangzhou, China. We do not sell finished products directly to consumers.You represent and warrant that:

  • You are a business entity or authorized representative acting in a commercial capacity.
  • You have the legal capacity to enter into binding contracts.
  • All information you provide is accurate and complete.

We reserve the right to refuse service to any party at our sole discretion.

3. Quotes, Orders, and Contract Formation

  • All quotes are valid for 30 days unless otherwise stated and are non-binding until a formal order is accepted in writing (email confirmation or signed Purchase Order).
  • Orders become binding only upon our written acceptance and receipt of the required deposit (typically 50% unless otherwise agreed).
  • We reserve the right to amend quotes due to raw material price fluctuations, regulatory changes, or minimum order quantity (MOQ) adjustments. MOQs start at 500 units per SKU for most custom formulas.

4. Pricing, Payment, and Taxes

  • Prices are quoted in USD or EUR and exclude shipping, duties, taxes, and customs fees.
  • Payment terms: 50% deposit upon order confirmation; 50% balance prior to shipment (or as per mutually agreed terms).
  • Accepted payment methods: Bank transfer (T/T), PayPal (for deposits under $5,000), or letter of credit for large orders.
  • Late payments incur 1.5% monthly interest. We may suspend production or withhold shipment until full payment is received.
  • You are responsible for all applicable sales taxes, VAT, GST, import duties, and customs fees in your destination country.

5. Delivery, Shipping, and Risk of Loss

  • Production lead time: 4–6 weeks from formula approval and deposit receipt (subject to current capacity).
  • Shipping: We arrange international shipping via reputable carriers (DHL, FedEx, sea freight for bulk). Title and risk of loss pass to you upon handover to the carrier (Incoterms 2020: EXW Guangzhou unless otherwise agreed).
  • Delivery dates are estimates only. We are not liable for delays caused by carrier issues, customs, or force majeure.
  • You must inspect Products upon receipt and notify us of any visible damage or discrepancies within 7 business days.

6. Intellectual Property and Branding

  • You retain ownership of your trademarks, logos, packaging designs, and brand assets.
  • We retain ownership of all base formulations, manufacturing processes, and know-how developed prior to or independently of your project.
  • Upon full payment, we grant you a perpetual, non-exclusive license to sell Products manufactured under your brand.
  • You warrant that your branding does not infringe third-party rights. You agree to indemnify us against any IP claims arising from your designs or specifications.

7. Product Specifications, Testing, and Compliance

  • All Products are manufactured to agreed specifications and tested for SPF efficacy, stability, microbiology, and preservative efficacy in accredited laboratories.
  • We comply with:
    • FDA OTC Monograph (USA)
    • EU Cosmetics Regulation
    • Australian TGA / AS/NZS standards
    • China GB/T cosmetic regulations
  • Reef-safe / Hawaii-compliant formulas are available upon request.
  • We make no medical or therapeutic claims. Sunscreen Products are cosmetic goods intended for sun protection only.

8. Warranties and Disclaimers

  • We warrant that Products will conform to the approved specifications and be free from manufacturing defects for 12 months from shipment (under proper storage conditions).
  • This is our sole warranty. We disclaim all other warranties, express or implied, including merchantability or fitness for a particular purpose.
  • We are not liable for:
    • Misuse, improper storage, or application of Products
    • Allergic reactions or individual skin sensitivities
    • Regulatory changes after shipment
    • Any consequential, incidental, or punitive damages

9. Limitation of LiabilityTo the maximum extent permitted by law, our total liability shall not exceed the amount you paid for the specific order giving rise to the claim. We are not liable for indirect, consequential, or punitive damages.

10. IndemnificationYou agree to indemnify and hold us harmless from any claims, losses, or damages arising from:

  • Your branding or marketing materials
  • Your resale or distribution practices
  • Any breach of these Terms by you

11. Force MajeureWe are not liable for delays or failure to perform due to events beyond our reasonable control (e.g., pandemics, natural disasters, war, strikes, raw material shortages, or government restrictions).

12. Governing Law and Dispute ResolutionThese Terms are governed by the laws of the People’s Republic of China (excluding conflict of law rules). Any dispute arising out of or in connection with these Terms shall first be resolved through friendly negotiation. If unresolved within 30 days, the dispute shall be submitted to the Guangzhou Arbitration Commission for final and binding arbitration in Guangzhou, China, in English.For consumers in the EU or Australia, mandatory local consumer protections apply where they cannot be contractually waived.

13. TerminationWe may terminate or suspend your access to services immediately for breach of these Terms, non-payment, or suspected fraudulent activity. You may terminate an active order only with our written consent and subject to cancellation fees (up to 100% of deposit if production has commenced).

14. Changes to These TermsWe may update these Terms at any time. The “Last Updated” date will be revised. Continued use of our services after changes constitutes acceptance. Material changes will be notified via email or website banner.

15. Severability and Entire AgreementIf any provision is held invalid, the remainder remains in full force. These Terms (together with our Privacy Policy and any accepted Order Confirmation) constitute the entire agreement between us.
